Intellectual property at UNSW

FastPASS agreements accelerate the collaboration process, allowing UNSW and partners to start projects and access funds as soon as possible (within one business week, with correct documentation). Although all FastPASS terms are fixed, the IP remains negotiable. All contracts are managed and tracked using Bench.

  • ALL pre-approved agreement clauses are non-negotiable. Please review the agreement templates below with your Industry Partner to make sure the terms are suitable.

    If your agreement requires changes to the pre-approved terms or negotiation, please engage our team to discuss negotiated contracting.
    Negotiated contracting
    1. Choose a contract: Discuss the standard UNSW terms available in the 12 agreement templates with your Industry Partner and choose the contract that is most appropriate for your research.

      It is important to note: while it’s now possible for IP terms to be negotiated, all other FastPASS clauses remain non-negotiable.

    2. Intellectual property: If you and your Industry Partner would like to negotiate a project-specific IP clause, please contact Industry and Innovation (I&I) to discuss and agree on IP details.
    3. Attach required documents: 
      • IP agreement (where applicable): Submit I&I approval email including the agreed upon IP clause.
      • Researcher approval: Lead Investigator's project approval email (if submitted by a delegate).
      • Pricing tool (where applicable): This tool allows you to scope your project.
      • Head of School approval: Applies to Material Transfer Agreements and Data Access & Use Agreements.
    4. Submit: Submit your completed agreement to the Research Grants & Contracts team via Bench.

Research Services Agreement

Ts & Cs under which UNSW performs research services procured by a third party. Suitable for standalone research projects required by third parties, rather than ongoing collaborative projects (where a Research Collaboration Agreement is more appropriate).

Defines the data to be shared, the purpose for which the data is to be shared, the period during which the data is to be shared, and any limitations or protocols that must be observed by the recipient of the data during and after the data-sharing arrangement.

Material Transfer Agreement - UNSW Provider

Obligations in relation to the transfer, use, modification, confidentiality, and publications arising from material transfer (such as biological or chemical material) for the purpose of conducting academic research which does not involve collaboration.

Subcontract Agreement

This Subcontract Agreement should be used where UNSW wishes to subcontract all or part of its obligations under a grant or funding agreement (Head Agreement) between the university and a sponsor.

Student Project & Placement Agreement

Used when an external party wishes to: fund a higher degree research (HDR) student stipend; contribute funding to a research project that an HDR student will undertake for the external party; offer a placement or internship to a HDR student.

Collaborative Research Agreement - Single Party (no grant funding)

This agreement can be used where UNSW is entering into a collaboration with a single external party to conduct a research project where UNSW will be the primary site for the conduct of the research.

Clinical Trial Research Agreement

Collaborative or Cooperative Research Group (CRG) Studies - This form is for cases in which UNSW is the Sponsor for a project not considered a Clinical Trial. This includes studies where there is no intervention (Investigational Product: Medicine or Device).

Variation Agreement

This Variation Agreement should be used where UNSW is seeking to amend an existing agreement (Principal Agreement). This agreement can be used for:

  • Changes in project start and end dates
  • Increase in funding (incoming funds)
  • Increase in fees payable (outgoing funds)
